Terms of Service

Effective August 26, 2026. Last updated August 26, 2026.

1. Who you are agreeing with

These terms are an agreement between you and Ohad Eliyahu, sole proprietor, Edmonton, Alberta, trading as Change First Studio ("we", "us"). By creating an account or using the service you accept them. If you are accepting on behalf of an organization, you confirm you have the authority to bind it.

Contact: ohad@innovativeedge.ca, [[MAILING ADDRESS]].

2. What Change First Studio is

Change First Studio helps a leader build and run a plan for a change inside their organization. It generates a first draft of that plan from what you tell it, then keeps the plan alive as a set of records you edit and work from: a stakeholder register, a risk register, an action list, and notes.

What it is not. It is not legal, human resources, labour relations, clinical or financial advice. It does not replace your organization's own governance, its privacy obligations, its collective agreements, or your professional judgement. Generated content is a starting draft written by an AI model from the information you provided. It can be wrong, incomplete or unsuitable for your situation. You are responsible for reading it, correcting it, and deciding whether to act on it. Do not send generated content to anyone in your organization without reading it first.

3. Your account

You need an account. Keep your password to yourself, use an address you control, and tell us promptly if you think someone else has got in. Accounts are for one person; do not share sign-in credentials. You must be 18 or older.

While we are in closed beta, access is granted individually and we may decline or withdraw it.

4. What you may not do

Do not:

  • Enter information about a patient, client or service user, including health information. This is a hard limit and the reason is in our Privacy Policy.
  • Enter formal human resources records: performance reviews, discipline, complaints, investigations, medical or accommodation information, or anything forming part of a grievance.
  • Enter government-issued identifiers, financial account numbers, or anyone's credentials.
  • Enter personal information about another person that you have no authority to enter.
  • Use the service to harass, disadvantage or build a case against a named individual. This product exists to help people land change, not to score their colleagues.
  • Resell or white-label the service, or use it to build a competing product.
  • Attempt to break, overload, scrape or reverse engineer the service, or work around its usage limits.
  • Upload malicious code, or anything unlawful.

We may suspend an account that breaches this section, and we will tell you why.

5. Your content stays yours

You own everything you put in, and everything the service generates from it for you. We claim no ownership of it.

You give us a limited licence to store, copy, transmit and display your content only for the purpose of operating the service for you, and to send the relevant parts to our AI provider when you ask us to generate or regenerate something. That licence ends when you delete the content or close your account. We do not use your content to train AI models, we do not let our providers do so, and we do not use it to develop features.

We own the service itself, its design, and its method content. Nothing here transfers that to you.

6. Information about other people

This clause matters more here than it does in most products, because the service is designed to hold your assessments of named colleagues.

When you enter personal information about someone else, you decide to collect it and you remain accountable for it. We process it on your instructions as your service provider. You confirm that you have the authority to enter it, that entering it is consistent with your organization's own policies and any applicable collective agreement, and that what you record is limited to what a reasonable person would consider appropriate for planning a change at work.

If an individual contacts us directly about information held in your workspace, we will refer them to you and notify you within five business days, except where the law requires us to act ourselves.

You will indemnify us against claims, penalties and reasonable costs arising from personal information you entered without the authority to enter it, or that falls into a category section 4 prohibits.

7. Prices, billing and renewal

There is no charge while Change First Studio is in its private beta. Access is granted individually on request, and while your account is in the beta we do not take payment, do not ask for a card, and do not start a subscription of any kind. Nothing in this agreement obliges you to pay us anything today.

How that changes, if it changes. We will publish prices before we charge anyone. Every beta account gets an email at least 30 days before any charge could apply to it, and you would have to accept the price and enter payment details yourself. Nothing starts automatically because you were in the beta. If you would rather not continue, do nothing: access ends and you are not charged. You can export everything you have entered, or delete it, at any point, beta or not.

Taxes and currency. Any prices we publish will be in Canadian dollars and will exclude applicable taxes, which are added at checkout.

Ending your access. You can stop using the service and delete your account at any time from your account page. We can end a beta account, with notice, as set out in section 9.

8. Availability, and what we do not promise

We aim to keep the service available and we do not currently offer a service level agreement or an uptime guarantee. The service is early. Features will change, some will be removed, and there will be defects. We will not make a change that deletes your existing content without telling you first.

We may take the service down for maintenance, and we will try to do it outside Canadian business hours.

9. Ending it

You can close your account at any time from your account settings. Export anything you want to keep first.

We can suspend or end your access if you breach these terms, if your account puts the service or other customers at risk, or if we stop offering the service. If we stop offering the service, we will give you at least 60 days' notice and a way to export everything.

After termination we keep your data for 30 days so you can export it, then delete it on the schedule in our Privacy Policy.

10. Warranties and liability

The service is provided "as is". To the extent the law allows, we exclude implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Our total liability to you for any claim connected to the service is limited to the amount you paid us in the twelve months before the claim arose. We are not liable for indirect or consequential losses, lost profits, lost opportunity, or the consequences of a decision you made after reading generated content.

Nothing here limits liability that cannot be limited by law, including for fraud or for death or personal injury caused by negligence. Some jurisdictions do not allow some of these exclusions, and where that is so, they do not apply to you.

11. Privacy

Our Privacy Policy at /privacy forms part of these terms and explains what we collect, where it is stored, who else processes it, and how long we keep it.

12. Changes to these terms

If we change these terms in a way that materially affects you, we will email account holders at least 14 days before the change takes effect. Continuing to use the service after that means you accept the change. If you do not, cancel before it takes effect and we will refund the unused part of the period you have paid for.

13. Law and disputes

These terms are governed by the laws of Alberta and the federal laws of Canada that apply there. The courts of Alberta have jurisdiction, and you and we both agree to that. Before starting anything formal, email us at ohad@innovativeedge.ca and give us 30 days to sort it out.

14. The rest

If a clause is unenforceable, the rest stays in force. Not enforcing something once does not waive it. You may not assign this agreement; we may assign it to a successor of the business, and we will tell you.

These terms, plus the Privacy Policy, are the whole agreement between us about the service.
